Terms of Service

1. Services

PPRWRK (ABN 76 952 194 414), operated by Matt Wagstaff ("we", "us"), provides Google Business Profile management services including AI-assisted content creation, review automation, and reporting for Australian businesses ("you", "the client").

2. Pricing & Payment

Services are provided at A$997 one-time setup fee plus A$197/month ongoing (inclusive of GST). Payment is processed via Stripe. The monthly subscription begins on the date of sign-up and recurs monthly.

3. No Lock-In

There are no lock-in contracts. You may cancel your monthly subscription at any time. Cancellation takes effect at the end of the current billing period. The one-time setup fee is non-refundable after work has commenced (see Refund Policy).

4. Google Business Profile Access

PPRWRK manages your Google Business Profile (GBP) using Google's secure OAuth 2.0 authentication system. Here is exactly how it works:

You remain the Owner of your GBP at all times. Ownership cannot be transferred, removed, or altered by PPRWRK. You created the listing; you own it permanently regardless of your subscription status.

During onboarding, you will sign in with your Google account and grant PPRWRK permission to manage your Google Business Profile. This uses Google's secure OAuth system — we never see or store your Google password.

PPRWRK stores a secure authentication token that allows us to manage your profile on your behalf. This token grants the same permissions as the Manager role: posting content, replying to reviews, reading profile insights, and pushing Q&A answers. It cannot delete your listing, remove you as Owner, or transfer ownership to anyone.

You can revoke PPRWRK's access at any time through your Google Account security settings (myaccount.google.com → Security → Third-party apps with account access → Remove Access). Revoking access immediately stops all GBP activity. Your subscription is separate — revoking access does not cancel your subscription, and vice versa.

Authentication tokens are automatically deleted within 7 days of subscription cancellation.

We will never:

  • Request your Google account username or password
  • Attempt to claim ownership of your GBP listing
  • Delete or transfer your GBP listing
  • Add third parties to your GBP without your explicit instruction

5. Your Responsibilities

  • Provide accurate business information during onboarding
  • Sign in with your Google account and grant PPRWRK permission to manage your Google Business Profile
  • Review and approve content before it is published (unless you have enabled auto-posting)
  • Ensure all photos and information you provide are yours to share

6. Our Responsibilities

  • Manage and create content for your Google Business Profile on your behalf
  • Facilitate review collection and response drafting
  • Provide monthly reporting on profile performance
  • Protect your business information and data
  • Delete Google authentication tokens within 7 days of subscription cancellation

7. AI-Generated Content

Our service uses artificial intelligence (Anthropic Claude) to assist with content creation, including Google Business Profile posts, review response drafts, review request messages, and business descriptions. You acknowledge and agree that:

  • AI-generated content is created based on information you provide (job descriptions, photos, business details) and may not always be perfectly accurate, complete, or appropriate for your specific circumstances
  • All AI-generated content is provided to you for review and approval before publication. You are responsible for reviewing all content before it is published to your Google Business Profile
  • If you enable auto-posting or auto-responding features, you accept full responsibility for all content published automatically on your behalf
  • We make every reasonable effort to ensure AI-generated content is accurate and appropriate, but we do not guarantee the accuracy, suitability, or completeness of any AI-generated content
  • We are not liable for any loss, damage, reputational harm, or other consequences arising from AI-generated content, whether reviewed by you or published automatically
  • You are solely responsible for ensuring that all published content (including AI-assisted content) complies with applicable laws, regulations, and Google's policies

8. Acceptable Use

You agree not to:

  • Submit content that is unlawful, defamatory, misleading, fraudulent, threatening, abusive, or harmful
  • Attempt to manipulate, interfere with, or abuse the AI content generation system, including but not limited to prompt injection, adversarial inputs, or any attempt to cause the AI to generate content that is offensive, misleading, harmful, or outside the scope of the service
  • Submit false, fabricated, or misleading business information, job descriptions, or customer details
  • Use the service to send unsolicited messages, spam, or communications that violate the Spam Act 2003 (Cth)
  • Use the service in any way that violates Google's terms of service or Business Profile policies

We reserve the right to suspend or terminate your account without notice or refund if we reasonably believe you have breached these acceptable use terms. Any content generated as a result of misuse remains your responsibility.

9. Content Ownership

You retain ownership of all photos and business information you provide. Content created by us (including AI-generated content) for your Google Business Profile is licensed to you. Upon cancellation, we will provide you with all content and data upon request.

10. No Guarantees

We do not guarantee specific Google rankings, call volumes, review ratings, or revenue outcomes. We do not guarantee the accuracy, quality, or suitability of AI-generated content. We guarantee consistent content creation, review management, and reporting as described in our service offering.

11. Limitation of Liability

To the maximum extent permitted by Australian law:

  • Our total aggregate liability to you for all claims arising out of or in connection with the service is limited to the amount you have paid us in the 3 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business reputation, even if we have been advised of the possibility of such damages
  • We are not liable for any loss or damage arising from: AI-generated content (whether reviewed by you or published automatically); changes Google makes to their platform, policies, or API access; third-party service outages (Twilio, Stripe, Google, Cloudflare); your failure to review content before publication; misuse of the service by you or anyone with access to your account
  • You are solely responsible for all content published to your Google Business Profile, including content created with AI assistance

12. Indemnification

You agree to indemnify, defend, and hold harmless PPRWRK (ABN 76 952 194 414), its operator, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:

  • Your use of the service
  • Content published to your Google Business Profile (including AI-generated content you approved or allowed to be published automatically)
  • Your breach of these terms
  • Your violation of any applicable law or third-party rights
  • Any dispute between you and your customers arising from review requests, published content, or review responses

13. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by Australian law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

14. Governing Law

These terms are governed by the laws of Victoria, Australia. Disputes will be resolved under the jurisdiction of Victorian courts.

15. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or SMS. Your continued use of the service after notification constitutes acceptance of the updated terms.
